LEGAL ASSISTANT

Dundee Corporation is a public Canadian independent holding company, listed on the Toronto Stock Exchange (“TSX”) under the symbol “DC.A”. Through its operating subsidiaries, the Corporation is engaged in diverse business activities in the areas of energy, resources, agriculture, real estate and infrastructure, and corporate finance. The Corporation also holds, directly and indirectly, a portfolio of investments mostly in these key areas, as well as other select investments in both publicly listed and private enterprises.

Position Overview

The Legal Assistant will provide legal and administrative support to the Vice President, Legal and other members of the corporate legal team as required in the production and revision of public disclosure documents, contracts and ancillary transaction documents, resolutions, etc. and actively contribute to the day-to-day functioning of the legal department.

Key Responsibilities

  • Providing primary legal support to the Vice President, Legal and Manager, Legal & Compliance in production and revision of public disclosure documents, contracts and ancillary transaction documents, resolutions, etc. (includes circulars, annual information forms);
  • Responsible for ensuring attention to detail and proper formatting for filings on SEDAR;
  • Assisting in the preparation of annual filing calendar with public disclosure documents for Dundee Corporation, Eurogas Corporation and Eurogas International Inc.;
  • Assisting Dundee Corporation, Eurogas Corporation and Eurogas International Inc. with the TSX, TSXV and CNSX (certificate of compliance, quarterly listing statement);
  • Preparation of TSX forms as required (PIF, Declarations, etc.);
  • Revising and updating SOX officer’s certificates, memos, organizational charts and emails on a quarterly and yearly basis for Dundee Corporation, Eurogas Corporation and Eurogas International Inc.;
  • Document preparation, proofreading and revisions;
  • Responsible for records management for Legal department;
    Invoicing;
  • Book meetings and arrange conference calls;
  • Organizes and maintains legal files;
  • Assist with the maintenance of corporate minute books;
  • Prepares share certificates and updates shareholders’ register and ledger for minute books;
  • Provides administrative assistance to the Legal team;
  • Perform other office administration tasks as required;
  • Maintaining legal department’s computer database;
  • Assists the Vice President, Legal with special ad hoc projects, as required;
  • Compiling miscellaneous documents on a quarterly basis at the request of the Internal Audit department;
  • Assists the Vice President, Tax and Vice President, Audit, as required.


Requirements/Qualifications

  • Adherence to the highest ethical standards, demonstrates accountability, integrity and transparency in actions at all times;
  • Good knowledge of administrative functions and procedures;
  • Post-secondary Diploma, Certificate and/or Degree with a specialization in the legal profession;
  • High attention to detail and accuracy is a must;
  • Excellent time-management skills;
  • Well organized and able to prioritize work;
  • Strong written skills and professional communication skills, with a demonstrated ability to comfortably interact with all levels of staff and management;
  • Proficient with Microsoft Office programs are required;
  • Experience working with corporate and legal database programs (i.e. Secretariat, Delta View, Disclosure Net) and SEDAR website is preferred;
  • Ability to work under pressure, within tight timelines, last minute changes;
  • Responding quickly to unexpected situations requiring good judgment and prompt action;
  • Flexibility with hours – able to work over-time on short notice when required.
